  1. Harris Digital (“HD”) will provide NetSuite administrative services as an agent of the Client, acting only within the scope of the Services. HD will not be responsible for executive or financial decision-making, accounting judgments, regulatory interpretations, or business policy determinations. All such decisions remain solely with the Client.
  2. Client retains full ownership, administrative control, and ultimate authority over its NetSuite environment, data, configurations, and business processes. Client may restrict or revoke HD’s access at any time. HD will comply promptly with any access restriction or direction.
  3. Services include the ongoing NetSuite support activities described in the described in the applicable Agreement or Statement of Work. Any work not expressly listed or reasonably implied is out of scope and requires mutual written approval and may be subject to additional fees. Examples of out-of-scope items may include major re-implementations, net-new subsidiaries, large data migrations, third-party software procurement, or custom development not previously approved.
  4. HD will follow a controlled change process when configuring, customizing, or updating the Client’s NetSuite environment.
    1. HD will document and communicate material changes in advance.
    2. Client approval is required prior to production deployment for changes that materially affect financial workflows or GL impacts, system security/roles, integrations, scripts, or core operational processes.
    3. Client acknowledges that delaying approvals may delay timelines
  5. Where feasible, HD will configure, develop, test, and validate changes in a sandbox/non-production environment first. If Client requests direct production work or limits sandbox availability, Client acknowledges the increased risk of disruption and agrees HD will not be liable for resulting operational impact, provided HD acted in good faith and within scope.
  6. HD’s work depends on information, requirements, approvals, and data provided by the Client. Client is responsible for the accuracy, completeness, and timeliness of all such materials. HD is not liable for issues arising from inaccurate requirements, incomplete data, or delayed Client responses.
  7. HD may perform imports, exports, cleansing, and integrity checks as part of Services.
    1. Client remains responsible for data correctness at the source and for final validation of imported or transformed data.
    2. HD is not liable for errors caused by Client-supplied data, third-party data feeds, or undocumented legacy data inconsistencies.
    3. Any bulk data operation will be performed only after Client approval of the approach and rollback plan where feasible.
  8. HD will perform customization and development to align NetSuite to Client processes. Client acknowledges that:
    1. Custom code and workflows may require iterative refinement.
    2. NetSuite updates, SuiteApp changes, or third-party system changes can impact custom solutions.
    3. HD is not responsible for failures caused by NetSuite platform changes or third-party updates outside HD’s control.
    4. HD will make commercially reasonable efforts to remediate impacted customizations under the Services or a separate change request if required.
  9. HD may assist with integrations between NetSuite and other systems. Client acknowledges that integration performance depends on third-party platforms, APIs, credentials, and uptime.
    1. HD is not liable for downtime, data loss, or functional degradation caused by third-party systems.
    2. Client is responsible for maintaining valid licenses, subscriptions, and vendor support for all third-party tools.
    3. If third-party issues require additional HD work, such work may be treated as out of scope unless otherwise agreed.
  10. HD will monitor and support NetSuite stability and performance to the extent reasonably possible.
    1. Client acknowledges that NetSuite is a third-party platform controlled by Oracle/NetSuite.
    2. HD does not guarantee NetSuite uptime, patch schedules, release timing, or platform performance.
    3. HD is not liable for impacts caused by NetSuite outages, release defects, or platform limitations.
  11. HD will follow least-privilege and role-based access best practices and will not intentionally weaken system security.
    1. Client is responsible for approving or provisioning HD roles, SSO/MFA enforcement, and internal access policies.
    2. HD is not liable for security incidents caused by Client misconfiguration, compromised Client credentials, or Client users’ actions.
    3. HD will notify Client promptly of any suspected unauthorized activity discovered during Services.
  12. HD will provide reasonable end-user support and training related to NetSuite use.
    1. Training does not constitute certification, formal HR enablement, or long-term internal support staffing.
    2. HD is not responsible for user errors, misuse, or failure to follow training guidance.
  13. HD may build dashboards, reports, saved searches, and KPIs based on Client definitions. Client is responsible for verifying that outputs meet internal financial and operational standards. Reports provided by HD are informational tools and are not a substitute for Client accounting review, audit controls, or statutory reporting obligations.
  14. HD will deliver Services in a professional and workmanlike manner consistent with industry standards. However, HD does not guarantee specific business results, financial outcomes, audit outcomes, or operational performance improvements from NetSuite adjustments.
  15. The Client acknowledges that the NetSuite environment contains customizations, scripts, workflows, and integrations created by third parties or prior vendors (“Legacy Code”).
    1. HD provides no warranty, express or implied, for any Legacy Code. HD is not responsible for errors, data corruption, or system failures caused by pre-existing customizations.
    2. If HD discovers that Legacy Code is causing system instability or conflicts with new development, HD will notify the Client immediately. Any work required to troubleshoot, fix, refactor, or replace Legacy Code is out of scope of standard support and will be billed at the applicable Adhoc Hourly Rate.
    3. While HD employs best practices to sandbox and test new features, the Client accepts that undocumented Legacy Code may cause unforeseen regression issues. HD is not liable for downtime resulting from conflicts with undocumented Legacy Code.
